1. About IZIBANE

IZIBANE is a photography and videography business operated by Goodnews Oke, based in Brighton, UK. By booking a session or service with IZIBANE, you agree to be bound by these Terms & Conditions. If you have any questions, please contact us before booking at enquiries@izibane.com.

2. Bookings & Confirmation

• A booking is only confirmed once a deposit has been received and a written confirmation (email) has been issued by IZIBANE.
• Provisional bookings may be held for up to 5 working days without a deposit, after which the date may be released.
• By paying a deposit, the client confirms they have read, understood, and agree to these Terms & Conditions.

3. Deposits & Payment

• Deposit: A non-refundable deposit of 30–50% of the total booking fee is required to secure the date. The exact amount will be confirmed at the time of booking.
• Balance: The remaining balance is due no later than 7 days before the event date, unless otherwise agreed in writing.
• Late payment: Failure to pay the balance by the due date may result in the booking being cancelled and the deposit forfeited.
• Payment methods: Bank transfer (BACS) or such methods as agreed with IZIBANE. All prices are in GBP and include VAT where applicable.

4. Cancellations & Rescheduling

• Cancellation by client: All deposits are non-refundable. If the event is cancelled with less than 14 days' notice, the full balance remains due.
• Rescheduling: One date change is permitted at no additional cost, subject to IZIBANE's availability, provided notice is given at least 14 days in advance. Subsequent changes may incur an administration fee.
• Cancellation by IZIBANE: In the unlikely event that IZIBANE must cancel due to circumstances beyond our control (illness, emergency), a full refund of all monies paid will be issued. Our liability is limited to this refund only.

5. Delivery & Timelines

• Estimated delivery timelines are provided at the time of booking and are indicative. IZIBANE will communicate if any delay is anticipated.
• Typical timelines: photography galleries within 2–3 weeks; short films and highlight reels within 3–6 weeks; documentary or brand films within 4–8 weeks.
• Final deliverables will not be released until full payment has been received.
• Rush delivery may be available for an additional fee, agreed in writing before the session.

6. Copyright & Intellectual Property

• All photographs, videos, and creative content produced by IZIBANE remain the intellectual property of IZIBANE (Goodnews Oke) unless explicitly transferred in writing.
• Client licence: Upon receipt of full payment, the client is granted a non-exclusive, non-transferable personal licence to use the delivered content for personal and social media use.
• Commercial use: Use of content for commercial purposes (advertising, branded campaigns, stock licensing) requires a separate written agreement and may incur additional fees.
• Portfolio use: IZIBANE reserves the right to use any images or footage from a booking in our portfolio, website, and social media for promotional purposes, unless the client requests otherwise in writing before the session.

7. On-the-Day Conduct

• The client is responsible for ensuring that all necessary permissions are obtained for filming at any venue or location.
• IZIBANE will work within the access and time constraints of the event. Any significant delays or restrictions caused by third parties may affect the coverage achievable.
• IZIBANE will not be held liable for missed moments due to circumstances outside our control (e.g. restricted access, sudden schedule changes, weather).

8. Liability

• In the event of equipment failure, unforeseen illness, or circumstances beyond our reasonable control, IZIBANE's liability is limited to a refund of monies paid.
• IZIBANE is not liable for any consequential or indirect losses arising from failure to deliver services.
• IZIBANE is not responsible for loss or damage to any items or property belonging to the client or their guests.

9. Data Protection

Personal data collected during the booking process is handled in accordance with our Privacy Policy. We will not share your personal data with third parties except as necessary to deliver the service (e.g. cloud storage, email delivery).

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
